Terms of Service

Last Updated: September 20, 2026

These Terms of Service ("Terms") govern the purchase and use of direct-purchase services provided by Miles & Daniels Firm ("Miles & Daniels," "MD," "we," "us," or "our"). By purchasing a service through our website, you ("Client" or "you") acknowledge that you have read, understood, and agreed to these Terms.

1.Scope of Services

Your purchase is limited to the specific service selected at the time of purchase and the scope described for that service on the Miles & Daniels website.

Unless expressly stated otherwise, the purchase of one service does not include additional consultations, follow-up services, document preparation, ongoing advisory support, representation, or work outside the stated scope of the purchased service.

If your request requires services beyond the scope of your purchase, Miles & Daniels may recommend an additional or different service before proceeding. Additional services may require a separate purchase or engagement.

2.HR Consulting and Educational Services

Miles & Daniels provides human resources consulting, workplace guidance, education, coaching, strategy, document review, and related advisory services.

Miles & Daniels is not a law firm and does not provide legal advice or legal representation. Information and guidance provided through our services is not a substitute for advice from a licensed attorney.

When a matter requires legal interpretation, legal advice, or legal representation outside the scope of HR consulting services, Miles & Daniels may recommend that the Client consult qualified legal counsel.

No attorney-client relationship or attorney-client privilege is created through the purchase or use of Miles & Daniels services.

3.Client Information and Responsibilities

Miles & Daniels provides services based upon the information, circumstances, and documents supplied by the Client.

The Client is responsible for providing information that is complete and accurate to the best of the Client's knowledge and for promptly providing additional information reasonably requested by Miles & Daniels.

Materially incomplete, inaccurate, misleading, or omitted information may affect the guidance provided and may prevent Miles & Daniels from completing the purchased service.

The Client is responsible for reviewing information and deliverables provided by Miles & Daniels and for determining whether and how to implement any recommendation or guidance.

4.No Guarantee of Outcome

Miles & Daniels does not guarantee any particular result or outcome from the purchase or use of its services.

Workplace, employment, career, and business matters may be affected by facts, documentation, policies, applicable laws, actions of third parties, and circumstances outside the control of Miles & Daniels.

The Client is purchasing professional consulting, guidance, education, coaching, review, or strategy—not a predetermined result.

5.Payment

Payment in full is required for direct-purchase services before services begin unless otherwise expressly stated.

Payment applies only to the service selected at checkout. Work outside the scope of the original purchase may require an additional purchase or separate engagement.

A successful payment does not by itself begin any stated service turnaround period. Applicable turnaround periods begin after the Client completes the required Client Intake and Miles & Daniels receives any information or materials reasonably necessary to perform the purchased service and accepts the matter for service.

6.Cancellations, Rescheduling, and No-Shows

For services requiring a scheduled appointment, Clients must provide at least 24 hours' notice to reschedule.

One complimentary reschedule is permitted when the required notice is provided.

Additional rescheduling requests are subject to Miles & Daniels' discretion and may require a new purchase.

Cancellation or rescheduling requests received less than 24 hours before the scheduled appointment are not eligible for complimentary rescheduling.

Failure to attend a scheduled appointment without the required notice will result in forfeiture of the scheduled service and payment made.

7.Refunds

A Client may request cancellation and a refund within 24 hours of purchase, provided Miles & Daniels has not begun substantive work on the purchased service.

Substantive work may include reviewing the Client's question, intake information, documents or other submitted materials; conducting research or analysis specific to the matter; preparing for a scheduled service; or otherwise beginning performance of the purchased service.

Once substantive work has begun, fees paid for the service are nonrefundable.

Disagreement or dissatisfaction with guidance, recommendations, assessments, conclusions, or the ultimate outcome of a matter does not constitute grounds for a refund.

If Miles & Daniels determines that it cannot appropriately provide the purchased service before substantive consulting work begins, Miles & Daniels may cancel the service and issue a refund of the amount paid for that service.

8.Service Timing

Any stated turnaround period begins after the Client completes the required Client Intake, Miles & Daniels has received the information and documentation reasonably necessary to perform the purchased service, and the matter has been accepted for service.

Requests for additional information may pause the applicable turnaround period until the requested information is received.

Any stated turnaround time is an estimate unless expressly identified as guaranteed. Miles & Daniels is not responsible for delays resulting from incomplete information, Client delay, third-party actions, technology interruptions, emergencies, or circumstances reasonably outside our control.

9.Client Responsiveness and Inactive Matters

If additional information is required to perform a service, Miles & Daniels may contact the Client using the contact information provided during purchase or intake.

If requested information is not provided within 30 calendar days, Miles & Daniels may administratively close the matter.

If the Client later requests that a closed matter be resumed, Miles & Daniels will determine whether the existing service can reasonably be resumed or whether a new purchase is required based upon the circumstances, time elapsed, changes in the matter, and work previously completed.

Administrative closure does not create an entitlement to a refund where substantive work has already begun or the applicable refund period has otherwise expired.

10.Follow-Up and Clarification

Where a direct-purchase written service includes clarification, the Client may submit one clarification question within five (5) calendar days after delivery of Miles & Daniels' response.

The clarification must relate directly to the guidance or information provided as part of the original purchased service.

New questions, materially different facts or circumstances, additional document review, or requests for additional substantive guidance are outside the original scope and may require the purchase of another service.

For scheduled consultations, coaching, or strategy services, questions and guidance are limited to the purchased session unless the service description expressly provides otherwise.

11.Electronic Communications and Delivery

By purchasing or using a service, the Client consents to receive service-related communications, documents, notices, and deliverables electronically using the contact information provided to Miles & Daniels.

The Client is responsible for providing accurate contact information and maintaining reasonable access to the email address or other communication method provided.

Electronic communications may involve risks outside the reasonable control of Miles & Daniels. Clients should use reasonable care when transmitting confidential or sensitive information electronically.

12.Confidentiality and Information Handling

Miles & Daniels recognizes that Clients may provide sensitive workplace, employment, personnel, career, or business information in connection with our services and will handle such information in accordance with our applicable privacy and information-handling practices.

Clients should provide only information reasonably necessary for the service requested and should avoid submitting unnecessary sensitive personal information.

Miles & Daniels may use service providers and technology platforms reasonably necessary to operate the business and deliver services, subject to applicable privacy and information-handling practices.

Nothing in these Terms creates an attorney-client relationship, attorney-client privilege, or other legal privilege associated with communications between a client and licensed legal counsel.

13.Service Limitations and Right to Decline or Discontinue

Miles & Daniels reserves the right to decline, limit, suspend, or discontinue a service when we reasonably determine that:

  • the requested work falls outside the scope of the purchased service;
  • the matter requires legal advice or legal representation;
  • an actual or potential conflict prevents us from appropriately providing the service;
  • the Client requests assistance with conduct that Miles & Daniels reasonably believes would be unlawful, fraudulent, deceptive, or unethical;
  • the Client engages in abusive, threatening, harassing, discriminatory, or otherwise inappropriate conduct toward Miles & Daniels or persons providing services on its behalf;
  • the Client repeatedly fails to provide information reasonably necessary to perform the service; or
  • circumstances otherwise prevent Miles & Daniels from appropriately providing the service.

Any refund associated with a service declined or discontinued under this section will be determined in accordance with the Refunds section of these Terms and the amount of substantive work already performed.

14.Client Decisions and Implementation

All decisions made and actions taken following Miles & Daniels' services remain the responsibility of the Client.

For employer Clients, Miles & Daniels may provide recommendations regarding workplace, personnel, compliance, employee relations, or other HR matters, but final employment and business decisions remain the responsibility of the employer.

For individual Clients, Miles & Daniels may provide workplace education, coaching, strategy, document review, career support, and related guidance, but the Client remains responsible for deciding whether and how to act upon that information.

15.No Ongoing Relationship

Completion of a direct-purchase service concludes the engagement associated with that purchase unless the Client purchases an additional service or enters into a separate ongoing engagement with Miles & Daniels.

A previous purchase does not create an obligation for Miles & Daniels to provide continuing advice, monitoring, updates, follow-up, or support after completion of the purchased service except where expressly included within that service.

16.Use of Deliverables and Intellectual Property

Unless otherwise stated in writing, deliverables prepared specifically for a Client as part of a purchased service may be used by that Client for the personal or internal business purpose for which they were provided.

The Client may not sell, license, publish, commercially distribute, or represent Miles & Daniels materials, methodologies, templates, educational content, or other proprietary materials as the Client's own without prior written permission from Miles & Daniels.

Miles & Daniels retains ownership of its pre-existing materials, methodologies, processes, templates, educational resources, know-how, and other intellectual property used in providing services.

17.No Third-Party Reliance

Services and deliverables are provided for the Client who purchased the service and based upon the facts and circumstances presented by that Client.

Unless Miles & Daniels expressly agrees otherwise in writing, third parties should not rely upon guidance, recommendations, assessments, or deliverables provided to a Client.

18.Limitation of Liability

To the fullest extent permitted by applicable law, Miles & Daniels will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the purchase or use of its services.

To the fullest extent permitted by applicable law, the total liability of Miles & Daniels arising from a direct-purchase service will not exceed the amount actually paid by the Client to Miles & Daniels for the specific service giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited.

19.Events Beyond Reasonable Control

Miles & Daniels will not be responsible for a delay or failure in performance resulting from circumstances reasonably beyond our control, including significant technology or communications failures, natural disasters, severe weather, governmental actions, widespread service interruptions, emergencies, or other comparable events.

Where reasonably possible, Miles & Daniels will resume affected services after the circumstances causing the interruption have been resolved.

20.Governing Law

These Terms and any dispute arising from or relating to direct-purchase services provided by Miles & Daniels will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any legal proceeding arising from or relating to these Terms or a direct-purchase service shall be brought in a court of competent jurisdiction located in the State of Georgia, unless applicable law requires otherwise.

21.Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

22.Waiver

A failure or delay by Miles & Daniels in exercising or enforcing any right or provision under these Terms does not constitute a waiver of that right or provision.

23.Entire Agreement

These Terms, together with the applicable service description, any service-specific conditions presented at purchase, and any policies expressly incorporated by reference, constitute the agreement governing the Client's direct-purchase service.

If a separate written agreement signed by Miles & Daniels expressly governs a particular engagement, that agreement will control to the extent of any conflict with these Terms.

24.Changes to These Terms

Miles & Daniels may revise these Terms periodically.

Changes will apply prospectively and will not alter the terms governing a previously completed purchase unless otherwise agreed or required by law.

The version applicable to a direct-purchase transaction is the version presented and accepted at the time of purchase.

25.Age Requirement

By purchasing or engaging Miles & Daniels Firm, LLC. for services, you represent and certify that you are at least 18 years of age and legally eligible to enter into the service relationship.

26.Electronic Acceptance

By selecting the required acknowledgment during checkout and completing the purchase, the Client confirms that the Client has had an opportunity to review these Terms and agrees to be bound by them.

Electronic acceptance of these Terms has the same effect as acceptance provided through a physical signature to the extent permitted by applicable law.
